TERMS & CONDITIONS OF BUSINESS

1.  Introduction and Interpretation


1.1  These Terms and Conditions of Business ("Terms") govern all bookings, contracts, and services provided by CAFIT LTD, a company incorporated in England and Wales under Company Number 12642045, with its registered office at 76a Edgware Way, Edgware, England, HA8 8JS, trading as quirky-hire.co.uk ("Quirky-Hire", "we", "us", "our").

1.2  All contracts for services are entered into with CAFIT LTD. References to "Quirky-Hire" in these Terms and in any proposal, quotation, invoice, or booking confirmation are references to CAFIT LTD trading as quirky-hire.co.uk.

1.3  These Terms apply to all clients, whether private individuals, companies, agencies, brand owners, venues, or other commercial entities ("Client", "you", "your").

1.4  By accepting a quotation, paying an invoice, confirming a booking, or instructing Quirky-Hire to proceed with any service, you confirm that you have read, understood, and agreed to be bound by these Terms.

1.5  These Terms, together with any written quotation, proposal, booking confirmation, or event brief issued by Quirky-Hire, constitute the entire agreement between the parties. In the event of any conflict, the written quotation or booking confirmation shall prevail.

1.6  Quirky-Hire reserves the right to update these Terms from time to time. The version in force at the date of booking shall apply.

1.7  In these Terms, the following definitions apply:

  • "Event" means the occasion, activation, exhibition, wedding, private celebration, or other engagement for which services are booked.
  • "Services" means all goods, installations, equipment, digital experiences, and associated labour provided by Quirky-Hire.
  • "Booking Confirmation" means the written confirmation of the Event date, services, and agreed fees issued by Quirky-Hire.
  • "Custom Elements" means any bespoke fabrication, printed materials, branded installations, floral arrangements, signage, prop construction, or other individually commissioned items produced specifically for the Client.
  • "Equipment" means all items of hardware, structures, furniture, props, technology, and physical assets deployed at the Event.


2.  Services

2.1  Quirky-Hire provides a comprehensive range of premium event services including but not limited to:

  • Luxury event styling and set builds
  • Pipe and drape installations
  • Draped backdrops and fabric installations
  • Balloon installations and bespoke balloon art
  • Branded activations and experiential marketing
  • Corporate event styling and exhibition styling
  • Photo opportunities and immersive experiences
  • Bespoke props, custom fabrication, and scenery
  • Signage, welcome signs, and printed displays
  • Floral styling and decorative floral elements
  • Luxury and premium furniture hire
  • Photo booth hire (standard, magazine, AI-powered, 360-degree)
  • Roaming photography and digital experiences
  • Custom printed installations and branded materials
  • Wedding styling and private event styling
  • Corporate styling and brand activation production

2.2  Services are provided by Quirky-Hire's employed team, contractors, and approved supply partners, all acting on behalf of CAFIT LTD.

2.3  Quirky-Hire reserves the right to engage suitably qualified sub-contractors to fulfil any part of the Services. Sub-contracting does not alter Quirky-Hire's responsibility to the Client under these Terms.

2.4  The exact scope of Services shall be set out in the written quotation or Booking Confirmation. Any requests to add, vary, or expand the Services after confirmation will be subject to availability, additional cost, and written agreement.


3.  Quotations, Bookings, and Confirmations

3.1  All quotations issued by Quirky-Hire are valid for fourteen (14) days from the date of issue unless otherwise stated in writing.

3.2  A quotation does not constitute a binding contract. No booking is confirmed, and no date is reserved, until full payment has been received in accordance with Clause 4 of these Terms.

3.3  In the event that a Client verbally instructs Quirky-Hire to proceed, or acts in a manner that implies acceptance of a quotation (including, without limitation, sharing event logistics, requesting amendments to designs, or approving proofs), Quirky-Hire may treat this as acceptance of the quotation and these Terms.

3.4  Where Services involve Custom Elements or bespoke production, Quirky-Hire shall issue a detailed brief or design for written approval prior to production. It is the Client's sole responsibility to review and approve all details, including spelling, logos, colours, measurements, and content, before production commences.

3.5  Amendments to confirmed bookings are accepted at Quirky-Hire's discretion and may be subject to additional charges. Amendments requested within four (4) weeks of the Event date may not be accommodatable.


4.  Payment Terms

4.1  Quirky-Hire does not take deposits. Full payment of the total booking value is required no later than four (4) weeks prior to the Event date.

4.2  For bookings made within four (4) weeks of the Event date, full payment is required immediately upon confirmation of the booking.

4.3  No booking date is secured, no resources are allocated, and no production work commences until full payment has been received and cleared by Quirky-Hire.

4.4  Payment must be made by bank transfer (BACS), debit card, credit card, or such other method as agreed in writing by Quirky-Hire. Cheques are not accepted.

4.5  Corporate clients may request extended credit terms. Such terms must be agreed in writing prior to booking and are subject to Quirky-Hire's approval. Where credit terms are granted, invoices are payable within the agreed period. In the absence of any written agreement, the standard payment terms set out in Clauses 4.1 and 4.2 apply.

4.6  If full payment is not received by the due date, Quirky-Hire reserves the right to:

  • Withhold all Services, including delivery, setup, and attendance, without liability;
  • Cancel the booking with immediate effect, in which case the cancellation policy in Clause 5 shall apply;
  • Retain any partial payments received as a contribution toward costs already incurred.

4.7  Late Payment — Business Clients: Where the Client is acting in the course of business, interest shall accrue on overdue invoices at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998, currently 8% per annum above the Bank of England base rate, from the due date until the date of actual payment, whether before or after any judgment. Quirky-Hire also reserves the right to claim reasonable debt recovery costs in accordance with that Act.

4.8  Late Payment — Consumer Clients: Where the Client is a consumer, interest shall accrue on overdue amounts at 3% per annum above the Bank of England base rate from the due date until actual payment.

4.9  All quoted prices are exclusive of VAT unless expressly stated otherwise. VAT will be applied at the applicable rate and shown separately on invoices.


5.  Cancellation Policy

5.1  Cancellations must be notified to Quirky-Hire in writing (by email to the address confirmed at booking). Cancellation charges apply from the date written notice is received by Quirky-Hire.

5.2  The following staged cancellation charges apply to the total confirmed booking value:

  • More than thirty (30) days before the Event: the Client forfeits all monies paid to date and shall remain liable for the cost of any Custom Elements, third-party commitments, or production costs already incurred by Quirky-Hire.
  • Between fourteen (14) and thirty (30) days before the Event: fifty per cent (50%) of the total booking value is immediately due and payable, whether or not any amount has been paid.
  • Fewer than fourteen (14) days before the Event: one hundred per cent (100%) of the total booking value is immediately due and payable.

5.3  Notwithstanding the above, the following costs remain payable in full in all cancellation scenarios, regardless of the notice period given:

  • Custom fabrication, bespoke builds, and set production costs
  • Printed or branded materials including signage, backdrops, and graphics
  • Floral design, sourcing, and preparation costs
  • Labour costs for production, installation, or event operation already committed
  • Third-party hire, supply, or contractor costs already incurred by Quirky-Hire
  • Any materials purchased specifically for the Event

5.4  Where Quirky-Hire has produced bespoke or custom work prior to cancellation, the Client shall pay for all such work at cost plus a reasonable production margin, which may be in addition to the cancellation charges set out above.

5.5  Quirky-Hire reserves the right to cancel a booking in the event of:

  • Non-payment by the due date
  • Unsafe venue or event conditions that cannot be remediated
  • Force majeure events as described in Clause 16
  • Material misrepresentation by the Client regarding the nature or scope of the Event

5.6  In the unlikely event that Quirky-Hire cancels a confirmed booking for reasons other than the Client's default or force majeure, Quirky-Hire's liability shall be limited to a refund of monies paid. Quirky-Hire shall not be liable for any consequential losses, wasted expenditure, or damages arising from such cancellation.


6.  Venue Access, Setup, and Load-In

6.1  The Client is responsible for ensuring that Quirky-Hire has full and timely access to the venue for setup, operation, and breakdown in accordance with the agreed schedule confirmed at booking. It is the Client's responsibility to communicate all relevant venue access information to Quirky-Hire in advance, including:

  • Agreed access and load-in times
  • Loading bay or delivery entrance location and restrictions
  • Parking availability and arrangements for Quirky-Hire vehicles
  • Lift dimensions, weight limits, and availability
  • Any step-free, level, or ramp access requirements
  • Power supply specifications and socket locations
  • Venue height, ceiling restrictions, and rigging permissions
  • Security check-in procedures and any credentialing requirements
  • Any specific venue restrictions, house rules, or contractor requirements

6.2  Quirky-Hire shall take all reasonable steps to complete setup within the agreed timeframe, provided that access is available on time and as described. If venue access is delayed, restricted, or materially different from the information provided, Quirky-Hire's obligation to deliver the full scope of Services may be reduced accordingly.

6.3  If access to the venue is delayed beyond the agreed start time through no fault of Quirky-Hire, Quirky-Hire reserves the right to charge a waiting time fee of £75 per hour (or part thereof) per team member, in addition to any additional overtime or labour costs arising from the delay.

6.4  Where a delay caused by the venue, the Client, or a third party results in reduced operational time, Quirky-Hire shall not be obliged to extend service delivery beyond the agreed end time. No refund or reduction shall be due for operational time lost due to such delays.

6.5  If the agreed setup schedule requires material amendment due to access issues beyond Quirky-Hire's control, any additional labour, transport, or logistics costs incurred shall be invoiced to the Client and payable within fourteen (14) days.

6.6  The Client warrants that appropriate venue permission has been obtained for all installations, activations, and equipment to be provided by Quirky-Hire. Quirky-Hire accepts no liability for venue objections, restrictions, or refusals discovered on the day of the Event.


7.  Overtime, Extended Hire, and Additional Time

7.1  Quirky-Hire's Services are provided for the agreed event duration set out in the Booking Confirmation. If the Client requests, or if circumstances require, an extension beyond the agreed operating period, overtime charges shall apply.

7.2  Overtime charges are calculated at £100 per team member per hour (or part thereof) for operational staff, unless a different rate has been agreed in writing prior to the Event.

7.3  Where Quirky-Hire equipment or structures remain at the venue beyond the agreed hire period due to the Client's request or the Client's failure to provide timely access for collection, extended hire charges shall apply at Quirky-Hire's then-current daily hire rate per item per day.

7.4  Where Quirky-Hire staff are required to wait at the venue before the agreed setup time, during the Event, or for collection due to delays caused by the Client or venue, waiting time charges of £75 per hour per team member shall apply.

7.5  All overtime, extended hire, and waiting time charges shall be invoiced after the Event and are payable within fourteen (14) days of the invoice date. Where the Client is a business client, the Late Payment provisions in Clause 4.7 shall apply to overdue amounts.


8.  Outdoor Events and Weather Conditions

8.1  Where Services are to be provided wholly or partially outdoors, or in temporary structures, the Client acknowledges that weather and environmental conditions may affect the delivery of Services.

8.2  Quirky-Hire reserves the right to make operational decisions regarding the safety and suitability of outdoor installations. Where, in the reasonable opinion of Quirky-Hire, weather or environmental conditions present a risk to the safety of guests, staff, or equipment, Quirky-Hire may, without liability to the Client:

  • Modify the installation or setup to reduce risk
  • Reduce the scope or scale of the setup
  • Relocate elements to a safer or covered area
  • Remove specific items or structures deemed unsafe
  • Decline to erect or operate elements in unsafe conditions

8.3  The following items are particularly susceptible to weather conditions and may be subject to modification, reduction, or removal:

  • Balloon installations, arches, and columns (wind, rain, and extreme temperatures can cause deflation, distortion, or structural failure)
  • Pipe and drape structures and fabric backdrops (wind can cause instability or collapse)
  • Lightweight signage, props, and branded displays
  • Outdoor photo booths, magazine booths, and 360 booths
  • Floral arrangements and decorative elements
  • Printed and paper-based materials

8.4  Unsafe weather conditions include but are not limited to: sustained wind speeds in excess of those safe for the installation type, heavy or persistent rain, lightning risk, extreme heat or cold affecting materials or equipment, and any ground conditions that make safe installation impractical.

8.5  Where Quirky-Hire removes or declines to erect any element due to safety concerns, no refund shall be due in respect of that element. Where possible, Quirky-Hire will offer alternative arrangements or indoor placement.

8.6  The Client is responsible for providing suitable shelter, anchorage, or weighted fixings where outdoor installation is planned and where such measures are reasonably required. Any additional costs associated with outdoor-specific safety requirements will be agreed in advance or, where unforeseen, invoiced at cost.


9.  Damage, Loss, Theft, and Equipment Liability

9.1  All Quirky-Hire equipment, props, furniture, signage, backdrops, branded assets, technology, and other items remain the property of CAFIT LTD at all times.

9.2  The Client is responsible for all items supplied by Quirky-Hire from the time of delivery or setup until the time of collection or breakdown. The Client accepts full liability for:

  • Loss or theft of any item during the hire period
  • Damage caused by guests, attendees, or any third party at the Event
  • Damage caused by the Client, its agents, or employees
  • Misuse, overloading, or negligent operation of equipment
  • Staining, soiling, or damage requiring specialist cleaning
  • Structural damage to booths, frames, furniture, or custom builds

9.3  In the event of damage, loss, or theft, the Client shall be liable for the cost of repair or replacement at full current market value, as determined by Quirky-Hire. Quirky-Hire shall make every effort to repair items where practicable; however, where items require replacement, the full replacement cost shall be charged to the Client.

9.4  The Client shall not permit any person to make alterations, additions, or repairs to Quirky-Hire equipment without prior written consent. Any unauthorised modification shall render the Client liable for the full replacement value of the item.

9.5  Quirky-Hire shall not be liable for damage to the venue or third-party property arising from the Client's failure to disclose accurate venue information, or from the actions of guests or attendees at the Event.

9.6  The Client is responsible for ensuring that adequate supervision is in place at events involving interactive equipment, particularly where children or large numbers of guests are expected.


10.  Insurance

10.1  CAFIT LTD holds Public Liability Insurance to the value of ten million pounds (£10,000,000) per occurrence.

10.2  A copy of the current insurance certificate is available upon written request and will be provided within five (5) business days.

10.3  It is the Client's responsibility to ensure that the venue and Event are covered by appropriate event insurance, and that the Client holds any insurance required by the venue or applicable law. Quirky-Hire's insurance does not extend to cover the Client's property, guests, or third-party contractors engaged by the Client.

10.4  Where a venue or corporate client requires evidence of specific insurance levels or endorsements, this must be communicated to Quirky-Hire in writing at the time of booking and before any contract is entered into.


11.  Health, Safety, and Risk Management

11.1  Quirky-Hire is committed to operating in accordance with applicable health and safety legislation, including the Health and Safety at Work etc. Act 1974 and associated regulations.

11.2  Risk Assessments and Method Statements (RAMS) are available upon request and will be provided in advance of the Event. Requests must be made at least ten (10) working days before the Event date.

11.3  All electrical equipment used by Quirky-Hire is subject to regular Portable Appliance Testing (PAT) in accordance with applicable guidance. PAT certificates are available upon request.

11.4  Quirky-Hire's team leaders and senior staff hold current Health and Safety awareness training and will conduct site safety assessments upon arrival at the venue.

11.5  Quirky-Hire reserves the right to stop, suspend, or refuse to continue providing Services at any time if, in the reasonable opinion of Quirky-Hire staff, conditions at the venue or Event pose an unacceptable risk to the health or safety of Quirky-Hire staff, guests, or third parties. In such circumstances, no refund shall be due.

11.6  The Client must ensure that the venue is a safe working environment and that Quirky-Hire staff are able to carry out their work without risk. The Client is responsible for notifying Quirky-Hire of any known hazards at the venue.

11.7  Quirky-Hire operates a zero-tolerance policy with respect to violence, threatening behaviour, or verbal or physical abuse directed at any member of Quirky-Hire staff. In the event of such behaviour, Quirky-Hire reserves the right to withdraw Services immediately without refund and to take such further action as it considers appropriate, including reporting the matter to the police.


12.  Photo Booth, Digital, and AI-Powered Experiences

12.1  Quirky-Hire provides a range of digital and technology-based services including photo booths (standard, magazine, and AI-powered), 360-degree video booths, digital sharing stations, and immersive brand activation technology.

12.2  Digital sharing capabilities (including the sharing of images, videos, GIFs, and AI-generated content via SMS, email, QR code, or social media) are dependent on the availability of a suitable internet connection, WiFi signal, or mobile data at the venue. Quirky-Hire accepts no liability for the failure or degradation of digital sharing services where such failure is attributable to inadequate internet or network connectivity at the venue.

12.3  AI-powered photo booth experiences and AI-generated imagery involve generative technology. Output quality and consistency may vary and are subject to the capabilities and limitations of the underlying AI models. Quirky-Hire makes no warranty that AI-generated outputs will precisely match any specific expectation, reference image, or brief, and the Client acknowledges that AI experiences involve an inherent degree of creative variation.

12.4  Where printing is provided as part of the Service, Quirky-Hire shall take all reasonable steps to ensure printers are operational and supplied with adequate media. In the event of a technical failure, printer malfunction, or consumables issue arising during the Event, Quirky-Hire shall use reasonable endeavours to resolve the issue promptly. However, Quirky-Hire's liability in respect of printing failures shall be limited to the cost of the printing element of the booking and shall not extend to consequential losses or claims for refund of the full booking value.

12.5  In the event of a technical fault with any digital experience, Quirky-Hire shall make all reasonable efforts to rectify the issue during the Event. Where a fault cannot be resolved on the day, Quirky-Hire shall assess whether a partial refund or goodwill credit is appropriate. No automatic refund shall be due for technical issues arising from circumstances outside Quirky-Hire's reasonable control, including but not limited to power failures, venue infrastructure issues, or third-party software malfunctions.

12.6  Social sharing features are provided as an enhancement to the core service and not as a guaranteed deliverable. Social platform access, API availability, and network conditions are outside Quirky-Hire's control and do not form a guaranteed element of the booking.

12.7  Where a data capture or lead generation element is included in a corporate booking, data collected via Quirky-Hire platforms will be handled in accordance with applicable data protection legislation and Quirky-Hire's Privacy Policy. The Client is responsible for ensuring that appropriate privacy notices are in place for event attendees.


13.  Branding, Custom Artwork, and Bespoke Elements

13.1  Where the Services include the production of branded, printed, or custom elements, the Client shall supply all required artwork, logos, copy, and brand guidelines in a timely manner and in the format specified by Quirky-Hire.

13.2  Quirky-Hire shall produce design proofs or mockups for the Client's written approval prior to production. Once written approval has been given, Quirky-Hire shall proceed to production and the Client accepts full responsibility for the accuracy of all content, including:

  • Spelling, grammar, and punctuation
  • Company names, trading names, and product names
  • Dates, times, and venue information
  • Logo usage and trademark accuracy
  • Colour accuracy (noting that screen-to-print colour variances are inherent to the production process)
  • Compliance with the Client's own brand guidelines

13.3  Quirky-Hire accepts no liability for errors, omissions, or inaccuracies in Custom Elements once written approval has been given. Any reprinting or reworking required as a result of approved content will be charged at full cost.

13.4  The Client warrants that it owns or has obtained all necessary licences, permissions, and intellectual property rights in respect of all materials supplied to Quirky-Hire for use in producing Custom Elements. The Client shall indemnify CAFIT LTD against any claims, costs, or damages arising from a third party's assertion that materials supplied by the Client infringe any intellectual property rights.

13.5  Custom Elements, bespoke props, and fabricated items produced specifically for the Client are non-refundable and are charged in full regardless of whether the Event proceeds.


14.  Intellectual Property

14.1  All intellectual property rights in Quirky-Hire's concepts, creative ideas, activation mechanics, visual concepts, layout designs, event structures, production methods, AI prompts, proprietary systems, branding frameworks, and associated materials remain the exclusive property of CAFIT LTD.

14.2  The submission of a proposal, quotation, mood board, concept document, or visual mockup by Quirky-Hire to a Client does not convey any licence or ownership of the underlying concepts or creative work. These remain the exclusive property of CAFIT LTD whether or not a booking proceeds.

14.3  The Client shall not reproduce, share, publish, or provide to any third party any concept, design, brief, or creative work produced by Quirky-Hire without prior written consent.

14.4  Where Quirky-Hire creates branded or custom content specifically for the Client as part of a confirmed and paid booking, a limited licence to use that content for the agreed purposes shall be granted to the Client upon receipt of full payment. All underlying design rights remain with CAFIT LTD unless otherwise agreed in writing.


15.  Confidentiality

15.1  Each party agrees to keep confidential any information disclosed by the other party that is identified as confidential or that ought reasonably to be regarded as confidential, including event briefs, activation concepts, client lists, pricing, commercial terms, and operational methods.

15.2  Neither party shall disclose confidential information to any third party without the prior written consent of the disclosing party, except as required by law, regulation, or court order.

15.3  Where a corporate client or brand requires a Non-Disclosure Agreement (NDA) prior to the submission of concepts or proposals, this must be communicated in writing before any materials are shared by Quirky-Hire.

15.4  In respect of product launches, brand activations, or Events subject to a marketing embargo, the Client may request in writing that Quirky-Hire delay the publication of any imagery or content relating to the Event. Quirky-Hire shall use reasonable endeavours to comply with such embargo requests, provided they are received in writing before the Event.


16.  Force Majeure

16.1  Neither party shall be in breach of these Terms or liable for any failure to perform its obligations hereunder where such failure results directly from a force majeure event beyond that party's reasonable control.

16.2  Force majeure events include, without limitation:

  • Extreme weather events, natural disasters, or acts of God
  • Pandemic, epidemic, or public health emergency, including government-imposed restrictions or lockdowns
  • Government-imposed restrictions, prohibitions, or bans affecting the Event or travel
  • Venue closure, damage, or unavailability outside the Client's or Quirky-Hire's control
  • National or regional infrastructure failure, including road, transport, or power network disruption
  • Strikes, industrial action, or civil unrest affecting access, supply, or logistics
  • Illness or death of key Quirky-Hire personnel where no reasonable replacement is available
  • Significant supply chain disruption affecting the availability of materials, equipment, or technology

16.3  The party affected by a force majeure event shall notify the other as soon as reasonably practicable. Where the force majeure event prevents the Event from proceeding, the parties shall discuss in good faith whether the Event can be rescheduled or whether a fair apportionment of costs is appropriate.

16.4  Where rescheduling is agreed, Quirky-Hire shall use its reasonable endeavours to hold availability for the Client's Event. Any costs already incurred by Quirky-Hire (including third-party costs, Custom Elements, and labour commitments) may not be refundable even in the event of force majeure.

16.5  Force majeure does not entitle either party to terminate the agreement without the payment of costs already incurred.


17.  Marketing, Photography, and Publicity Rights

17.1  Quirky-Hire reserves the right to photograph, film, and record Events for the purposes of marketing, portfolio development, social media content, and promotional materials, including use on Quirky-Hire's website and social media channels.

17.2  Where the Client does not consent to the use of imagery for marketing purposes, this must be communicated in writing to Quirky-Hire before the Event. A written opt-out will be respected in full.

17.3  Where an Event is subject to a commercial embargo, brand exclusivity requirement, or pre-launch confidentiality obligation, the Client must notify Quirky-Hire in writing before the Event. Quirky-Hire shall not publish Event imagery or content until the embargo period has ended.

17.4  Quirky-Hire shall not publish imagery that includes identifiable individuals without reasonable care being taken regarding consent, in accordance with applicable data protection and privacy law.

17.5  Clients who wish to feature Quirky-Hire in their own marketing, case studies, or award entries are welcome to do so and are encouraged to request high-resolution imagery from Quirky-Hire for this purpose.


18.  Limitation of Liability

18.1  Nothing in these Terms shall operate to exclude or restrict Quirky-Hire's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

18.2  Subject to Clause 18.1, Quirky-Hire's total aggregate liability to the Client in respect of any claim or series of related claims arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by the Client in respect of the relevant booking.

18.3  Quirky-Hire shall not be liable to the Client for any:

  • Indirect or consequential losses
  • Loss of profits, revenue, or business
  • Loss of data or anticipated savings
  • Business interruption or wasted management time
  • Reputational harm or loss of goodwill
  • Costs of procurement of substitute services
  • Claims arising from the actions, behaviour, or negligence of guests, attendees, or third parties at the Event

18.4  Where Quirky-Hire is unable to fulfil a specific element of the Services due to circumstances beyond its reasonable control, its liability shall be limited to a proportionate reduction in the booking fee attributable to that element, and shall not extend to any consequential losses.

18.5  Where the Client is a consumer, the limitations in this Clause shall apply only to the extent permitted by applicable consumer protection legislation.


19.  Complaints and Dispute Resolution

19.1  Quirky-Hire is committed to providing an excellent level of service. In the event that the Client has a complaint regarding any aspect of the Services, this must be raised with Quirky-Hire in writing as soon as reasonably practicable and, in any event, within five (5) working days of the Event date.

19.2  Complaints raised after this period may not be addressable to the same level of detail, as Event evidence and records may no longer be retained.

19.3  Quirky-Hire will acknowledge complaints within three (3) working days and aim to provide a substantive response within ten (10) working days.

19.4  Where a dispute cannot be resolved through direct negotiation, the parties agree to consider mediation as a first step before commencing any legal proceedings. The costs of any mediation shall be shared equally unless otherwise agreed.


20.  Data Protection and Privacy

20.1  CAFIT LTD processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

20.2  Personal data shared by the Client for the purposes of administering a booking will be used solely for that purpose and will not be shared with third parties except where necessary for the performance of the contract (for example, where sub-contractors are engaged).

20.3  Full details of Quirky-Hire's data handling practices are set out in the Privacy Policy available at quirky-hire.co.uk.

20.4  Where Quirky-Hire collects personal data from Event attendees on behalf of the Client (for example, through digital check-in, photo booth consent, or data capture activations), the Client is the data controller in respect of that data and is responsible for ensuring that appropriate privacy notices and consents are in place.


21.  Website Terms of Use

21.1  The website at quirky-hire.co.uk is operated by CAFIT LTD. By accessing and using this website, you agree to be bound by these Terms and by any additional terms applicable to specific areas of the website.

21.2  All content on the Quirky-Hire website, including but not limited to text, imagery, photography, video, design, layout, brand elements, and concept descriptions, is the intellectual property of CAFIT LTD unless otherwise attributed. No content may be reproduced, copied, distributed, or published without prior written permission from CAFIT LTD.

21.3  Quirky-Hire endeavours to keep website content accurate and up to date; however, no warranty is given as to the accuracy, completeness, or fitness for purpose of any information on the website. Website content is provided for general information purposes only and does not constitute professional advice.

21.4  Pricing, availability, and service descriptions shown on the website are indicative and subject to change. Confirmed pricing is contained within individual written quotations only.

21.5  The website may include links to third-party websites. Quirky-Hire accepts no responsibility for the content, accuracy, or privacy practices of third-party websites, and the inclusion of such links does not imply endorsement.

21.6  You must not use the Quirky-Hire website in any way that is unlawful, harmful, or that infringes the rights of CAFIT LTD or any third party. Misuse of the website, including unauthorised access, data scraping, or attempts to compromise security, is strictly prohibited and may result in legal action.

21.7  CAFIT LTD shall not be liable for any loss or damage arising from your reliance on the content of the Quirky-Hire website.


22.  Governing Law and Jurisdiction

22.1  These Terms, and any contract formed between CAFIT LTD and the Client, are governed by and construed in accordance with the laws of England and Wales.

22.2  The parties irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.

22.3  Nothing in this Clause shall prevent Quirky-Hire from seeking urgent injunctive or other equitable relief in any jurisdiction where necessary to protect its rights or property.


23.  General Provisions

23.1  Entire Agreement: These Terms, together with the Booking Confirmation and any written quotation, constitute the entire agreement between the parties and supersede all prior representations, negotiations, and understandings.

23.2  Variation: No variation to these Terms shall be effective unless agreed in writing by a director or authorised representative of CAFIT LTD.

23.3  Waiver: A failure or delay by either party to exercise any right under these Terms shall not constitute a waiver of that right.

23.4  Severance: If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

23.5  Third Party Rights: These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999, unless expressly stated.

23.6  Assignment: The Client may not assign or transfer any rights or obligations under these Terms without the prior written consent of CAFIT LTD. CAFIT LTD may assign its rights and obligations under these Terms to any successor business or associated entity.

23.7  Notices: Any notices to be given under these Terms shall be in writing and delivered by email to the addresses confirmed at booking, or by post to the registered office of CAFIT LTD. Email notices shall be deemed received on the next working day after transmission.
